manipulate transportation charges and to discriminate in favour of certain clients to the disadvantage of others. Efforts are made to induce Chinese to ship their produce to Dalny rather than Newchwang, and it is stated that obstacles are placed in the way of those who wish to forward to the latter port.

The opening of Mukden to international residence and trade was stipulated in both the American and Japanese Commercial Treaties, but by virtue of her recent military occupation Japan's position in Manchuria is peculiar, and the extent, character, and advantageous location of Japanese settlements, the control of railway communications, and the extraordinary status of Antung and Dalny have possibilities of future develop- ment prejudicial to American and European interests.

Luoyang. At Liaoyang the Japanese Military Administration have issued strict Rules for the residence and engagement in business by Japanese. The same Adminis- tration have also issued Rules relating to the renting of land and buildings.

Peking, December 21, 1906. WITH reference to my despatch No. 515 of the 10th instant, inclosing trans- lation of an agreement come to at Peking between the Japanese Minister and the Wai-wu Pu for the rendition of Newchwang to Chinese control, I have now the honour to transmit to you herewith, translation of an arrangement made at Newchwang in accordance with that agreement, by Deputies specially appointed for the purpose by China and Japan.

Inclosure in No. 1.

ARRANGEMENT made at Nowchwang by Deputies appointed by Japan and China respectively for the restoration of Newchwang to Chinese control according to the terms of the Memorandum in four Articles made at Peking in the Chinese 9th and Japanese 10th month and agreed to by the two Governments.

THE first Article of the Peking Memorandum provides that "until the Japanese troops are withdrawn from Newchwang, all regulations for quarantine inspection and the prevention of disease shall be arranged by the local authorities in consultation with the Japanese Consul." It has now been arranged between the Deputies of the two Governments that for the time being the regulations made by the Japanese Military Administration shall remain in force, and any changes that may hereafter appear necessary shall be arranged as occasion demands by the local authorities and the Japanese Consul in consultation. When the Japanese troops have been withdrawn, the local authorities shall have sole control,

The second Article of the Peking Memorandum provides that "all works of public utility which have been put into operation during the period of military administration, or which have been planned and not yet put into operation, shall be continued by the local authorities, or authorization given for them to be continued.” The enterprises which the Military Administration authorized the joint Japanese and Chinese Chu-Shih Company to undertake are the waterworks, the electric tramways, the electric light, and the telephone system. It has been agreed between the Deputies of the two countries that the Company shall administer the waterworks, the electric tramways, and the electric light, but the Company shall forward its original regulations to the proper Board at Peking for sanction. Should the Board consider that changes in these regulations are necessary, or that they should be added to or diminished, the Company agrees to act conformably. The telephone system will be taken over by the Chinese Telegraph Administration, and the Telegraph Adminis- tration and the Company will each appoint a Representative to examine the arrangements already made at Newchwang by the Company and assess a price for their purchase. If the two Deputies do not agree, they shall in due course nominate an impartial arbitrator, by whose decision they shall abide.

The slaughter-house shall be continued by the Public Health Department, and the arrangement of a price for its purchase shall be the same as in the case of the telephone system.

The light tramway from Yingkow to Nin-chia-tun shall be removed when the electric tramway is compleicd.
